Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Toggly service operated by opsAI LLC ("us", "we", or "our").

1. Agreement to Terms

By accessing or using our service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the service.

2. Use License

Permission is granted to temporarily use Toggly for personal or commercial purposes. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the materials
• Use the materials for any commercial purpose or for any public display
• Attempt to reverse engineer any software contained in the service
• Remove any copyright or other proprietary notations from the materials
• Transfer the materials to another person or "mirror" the materials on any other server

3. Account Registration

To access certain features of the service, you must register for an account. You can create an account by:

• Providing an email address and creating a password
• Using "Login with Google" to authenticate with your Google account
• Using "Login with GitHub" to authenticate with your GitHub account

When using "Login with Google" or "Login with GitHub", you grant Toggly permission to access your account email address and basic profile information for authentication purposes. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your password and identification (or third-party account security if using third-party sign-in)
• Accept all responsibility for activities that occur under your account
• Notify us immediately of any unauthorized use of your account
• You can revoke third-party account access at any time through your respective account settings (Google Account settings or GitHub Account settings)

4. Third-Party Integrations

When you connect third-party services (such as Google Analytics, Slack, etc.) or use third-party authentication (such as "Login with Google" or "Login with GitHub"):

• You grant Toggly permission to access data according to the requested scopes for that specific integration or authentication method
• You are responsible for ensuring you have the right to grant such access
• Toggly will only access data necessary for the integration or authentication to function
• For "Login with Google" or "Login with GitHub", we access your account email address and basic profile information to authenticate your identity and manage your Toggly user account
• You can disconnect integrations or revoke authentication access at any time through your Toggly account settings or your respective third-party account settings (Google Account settings, GitHub Account settings, etc.)
• Toggly is not responsible for the privacy practices of third-party services

Google Analytics Integration: When you connect your Google Analytics account, Toggly requests read-only access to import analytics metrics. We never modify, delete, or share your Google Analytics data. This integration is optional and separate from account authentication.

5. Acceptable Use

You agree not to use the service to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Transmit any harmful or malicious code
• Interfere with or disrupt the service or servers
• Attempt to gain unauthorized access to any portion of the service
• Use the service for any illegal or unauthorized purpose

6. Payment Terms

If you purchase a subscription:

• You agree to pay all fees associated with your subscription
• Fees are billed in advance on a recurring basis
• All fees are non-refundable except as required by law
• We reserve the right to change our pricing with 30 days notice
• Failure to pay may result in suspension or termination of your account

7. Intellectual Property

The service and its original content, features, and functionality are and will remain the exclusive property of opsAI LLC and its licensors. The service is protected by copyright, trademark, and other laws.

8. User Content

You retain ownership of any content you submit to the service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and distribute your content solely for the purpose of providing the service.

9. Service Availability

We strive to maintain high availability of our service, but we do not guarantee uninterrupted access. The service may be unavailable due to maintenance, updates, or circumstances beyond our control.

10. Data Backup and Loss

While we implement backup and redundancy measures, you are responsible for maintaining backups of your data. We are not liable for any loss of data.

11. Termination

We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

12. Disclaimer

The service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

13. Limitation of Liability

In no event shall opsAI LLC, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

14. Indemnification

You agree to defend, indemnify, and hold harmless opsAI LLC and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees).

15. Governing Law

These Terms shall be interpreted and governed by the laws of the United States, without regard to its conflict of law provisions.

16. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.
